Terms of Use

1. Scope of Application

ChargeRx is a software application designed for the management and reconciliation of pharmaceutical chargebacks, contract pricing, customer records, and related financial data. The system may operate in a multi-tenant environment where multiple clients access isolated datasets.

2. Ownership and Intellectual Property

All intellectual property rights in the software, including source code, database structure, business logic, and user interface, are owned by ChargeRx and/or its licensors. No rights are granted except those explicitly stated.

3. License of Use

Authorized users are granted a limited, non-exclusive, non-transferable license to use the system strictly for internal business purposes related to pharmaceutical operations. Reverse engineering, copying, redistribution, or commercial exploitation is prohibited.

4. Multi-Tenant Data Separation

Each client’s data is logically segregated. Users may access only the data associated with their assigned organization. Any attempt to access or manipulate data belonging to another client constitutes a violation of these Terms.

ChargeRx may process business and limited personal data (e.g., user credentials, contact information). Such processing is performed in accordance with applicable data protection regulations, including the General Data Protection Regulation (GDPR).

Users are responsible for ensuring that any data uploaded into the system complies with data protection laws.

7. Data Integrity and Validation

While ChargeRx implements validation and reconciliation logic, the system does not guarantee absolute accuracy. All outputs should be reviewed and verified by the user prior to business use.

8. Audit and Logging

The system may log user actions, including data uploads, modifications, and processing steps, for audit, security, and compliance purposes.

9. Security

Reasonable technical and organizational measures are implemented to protect system integrity. However, no system is completely secure. Users accept inherent risks associated with software usage.

10. Limitation of Liability

ChargeRx shall not be liable for any direct, indirect, incidental, or consequential damages, including financial losses resulting from data inaccuracies, system downtime, or misuse.

11. Availability

The system is provided "as is" without guarantees of uninterrupted availability or performance.

12. Modifications

These Terms may be updated periodically. Continued use of the system constitutes acceptance of the updated Terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Greece.
